Central Desert can assist PBCs, and their subsidiaries, to fulfill their rights and responsibilities to their members and common law holders and meet their legislative requirements.

This includes compliance with:

  • the Corporation Rule Book;
  • the Corporations (Aboriginal and Torres Strait Islander) Regulations 2017 (CATSI Regulations);
  • the Native Title (Prescribed Bodies Corporate) Regulations 1999 (PBC Regulations); and
  • the Native Title Act 1993.

Other obligations include employment, taxation, superannuation, insurances, financial reporting.

When PBCs are ready, Central Desert works side by side with clients to transition corporate governance and financial management duties to PBC staff.

How does it work?

The PBC is supported by Central Desert with Corporate Governance Support Services under a fee-for-service agreement.

All information stored by Central Desert on behalf of the PBC remains the confidential property of the PBC.

Central Desert allocates a PBC Coordinator to the Corporation to provide the following Corporate Governance Support Services:

  • acting as the contact person (as defined in the CATSI Act); 
  • maintaining corporate records; 
  • statutory reporting; 
  • PBC basic support funding request; 
  • liaison support; and
  • secretarial support.  

Contact Person

The PBC Coordinator is the contact person for the Corporation, including, but not limited to, receiving communications on behalf of the Corporation and passing on those communications to at least one Director within 14 days of receiving the communication.

Corporate Records Maintenance

The PBC Coordinator maintains the corporate records of the Corporation in accordance with the CATSI Act and otherwise in accordance with good corporate governance standards, including maintaining and updating:

  • a copy of the Rules;
  • the register of Members and register of former Members;
  • any other matters relevant to the Corporation that are set out in any of the CATSI Act, the CATSI Regulations or under any relevant legislation.

Statutory Reporting

The PBC Coordinator will:

  • prepare and lodge the general report;
  • lodge the financial and audit report; and
  • lodge other statutory reports, as required by any relevant legislation.

PBC Basic Support Funding Request

The PBC Coordinator will coordinate the preparation and submission of the annual PBC basic support funding request to Central Desert.

Liaison Support

The PBC Coordinator, unless otherwise directed by the Corporation, will liaise as necessary with:

  • Members regarding relevant Corporation-related business
  • individuals who have applied, or wish to apply, to become Members; and
  • other Corporation service providers.

Secretarial Support

The PBC Coordinator, unless otherwise directed by the Corporation, will provide secretarial support to the Corporation to hold:

  • Directors’ meetings 
  • general meeting or meeting held to facilitate native title decisions 
  • sub-committee meetings.
